LICENSE AGREEMENT FOR GOSPEL INSTRUMENTAL This License Agreement ("Agreement") is made between InnerSanctum Entertainment Ltd. ("Licensor") and the individual or entity purchasing the gospel instrumental ("Licensee"). 1. Ownership of Intellectual Property Licensor owns all copyrights and other intellectual property rights in and to the gospel instrumental. 2. License Grant Licensor grants Licensee a non-exclusive license to use the gospel instrumental in music or content that is defined as gospel music, which is Bible agreeing, Jesus worshiping, or glorifying Christian belief in God the Trinity, Death, burial and resurrection of Jesus Christ. 3. Restrictions on Use Licensee may not use the gospel instrumental in any other genre of music or content, including but not limited to secular, non-Christian religious, or offensive content. Any such use is a breach of this Agreement. Licensee must not register the content containing the gospel instrumental with any content identification system, without the written permission of the Licensor, as it may cause issues for other persons who have licenses for the same instrumental as well as it may already be registered with content identification systems. If when the Licensee uploads their gospel content to a platform they get notified that they are in breach for using the content, they must report it to the Licensor so that steps can be made to rectify the situation within 90 business days of the notification to the Licensor. 4. Compensation In consideration for the license, Licensee shall pay Licensor the purchase price for the gospel instrumental. Licensee and Licensor shall split any and all royalties and copyrights for the created gospel music or content 50-50. (Licensor 100% of composer/producer, Licensee 100% of Author/writer) 5. Termination This license shall terminate automatically if Licensee breaches any of the terms of this Agreement. Upon termination, Licensee shall immediately cease all use of the gospel instrumental and destroy any copies in their possession. 6. Representations and Warranties Licensee represents and warrants that they will only use the gospel instrumental for the purpose of creating gospel music or content as defined in this Agreement, and that they have the full right, power, and authority to enter into this Agreement and to perform their obligations hereunder. Licensee further agrees to indemnify and hold harmless Licensor and Arron George of Innersanctum Entertainment Ltd. from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to Licensee's breach of this Agreement, including but not limited to any claims of copyright infringement or other intellectual property claims. The removal of any content that is in breach of this Agreement must be done within 14 business days of receipt of a written request from Licensor. 7. Producer Credit Any registration of the created gospel music or content should credit Arron George of Innersanctum Entertainment Ltd. as the Producer/Composer and a notification of the registration along with copies of the documents must be sent to info@innersanctumentertainment.com for accounting and verification purposes. 8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Trinidad and Tobago. 9. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement. 10. Acceptance By purchasing and using the gospel instrumental, Licensee agrees to be bound by the terms and conditions of this Agreement.
